Claves AI Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Claves AI, including any websites, applications, councils, model-routing features, decision-support tools, account features, user-provided API key features, and related services (collectively, the “Service”).

This site is operated by Claves AI (“Claves AI,” “we,” “us,” or “our”). If you do not agree to these Terms, do not access or use the Service.

1. Acceptance of Terms

By creating an account, clicking “I agree,” accessing the Service, submitting a prompt, connecting a user-provided credential, or otherwise using Claves AI, you agree to these Terms, our Privacy Policy, Disclaimer, Acceptable Use Policy, and any other policies referenced in these Terms.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization.

2. Eligibility

You must be at least 18 years old to use Claves AI. By using the Service, you represent that you are legally able to enter into these Terms and are not prohibited from using the Service under applicable law.

3. Nature of the Service

Claves AI provides AI-generated analysis, discussion, comparison, deliberation, and decision-support outputs. The Service may use multiple artificial intelligence models, agents, councils, routing providers, or third-party services.

Outputs are generated by machine-learning systems and may be inaccurate, incomplete, outdated, speculative, biased, unsafe, or misleading. Claves AI does not provide professional advice and does not make final decisions for you.

You are responsible for independently verifying all important information before relying on it.

4. No Professional Advice

The Service does not provide legal, medical, financial, tax, investment, engineering, security, employment, procurement, compliance, or other regulated professional advice.

Use of the Service does not create an attorney-client, doctor-patient, fiduciary, adviser-client, consultant-client, contractor, employment, agency, or other professional relationship.

For high-risk or regulated matters, you should consult a qualified professional before acting.

5. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You agree to provide accurate account information and to promptly update it if it changes.

You must notify us promptly if you believe your account, API key, payment account, or other credential has been compromised.

We may suspend or terminate your account if we believe your use creates legal, security, operational, reputational, or platform risk.

6. User-Provided API Keys and Credentials

The Service may allow you to connect your own OpenRouter key, model-provider key, API key, or other credential (“User-Provided Credential”).

If you connect a User-Provided Credential, you are solely responsible for:

• the credential and associated account;
• provider charges, credits, billing, and usage;
• provider terms, restrictions, and policies;
• activity routed through the credential;
• revoking, rotating, or securing the credential;
• ensuring that you are authorized to use the credential with Claves AI.

Claves AI may facilitate routing through your User-Provided Credential, but we do not control your provider account, payment method, rate limits, model availability, provider billing, provider logging, provider retention, provider terms, or provider decisions.

7. Third-Party Models and Services

Claves AI may route prompts, context, files, outputs, metadata, usage information, account information, payment information, authentication information, or related request information to third-party model providers, infrastructure providers, payment processors, authentication providers, analytics providers, or user-connected services.

Third-party services may have their own terms, privacy practices, retention policies, logging practices, rate limits, availability limits, model behavior, pricing, safety policies, and security controls.

We do not control third-party models or services and are not responsible for their outputs, errors, outages, latency, policy changes, pricing changes, provider decisions, rate limits, security incidents, or handling of information.

8. Prohibited Submissions

Claves AI is not authorized, accredited, approved, or intended for classified information, Controlled Unclassified Information, export-controlled technical data, ITAR-controlled data, EAR-controlled technical data, government-sensitive information, procurement-sensitive information, or information requiring FedRAMP, DoD Impact Level, agency authorization, or similar government approval.

You must not submit any such information to the Service, regardless of your personal clearance, employment status, access authorization, contractual authorization, or professional role.

You also must not submit passwords, private keys, seed phrases, protected health information, Social Security numbers, financial account numbers, government identification numbers, trade secrets, confidential business information, sensitive personal information, regulated personal data, or other restricted information unless Claves AI has expressly agreed in writing to support that use case.

9. Acceptable Use

You agree not to use the Service to:

• violate any law, regulation, contract, professional duty, workplace policy, procurement rule, export-control obligation, sanctions obligation, data-protection obligation, or intellectual-property right;
• generate, facilitate, or conceal illegal activity;
• develop or deploy weapons, malware, phishing, credential theft, unauthorized surveillance, or harmful cyber activity;
• make automated decisions about legal rights, employment, credit, housing, insurance, education, healthcare, or similar material interests without appropriate human review and legal authorization;
• submit prohibited, sensitive, classified, controlled, or restricted information;
• interfere with, reverse engineer, scrape, overload, disrupt, or abuse the Service;
• misrepresent AI-generated outputs as professional advice, human-authored expert determinations, or guaranteed facts;
• use the Service in a way that could harm Claves AI, other users, third-party providers, or the public.

We may monitor, restrict, suspend, or terminate access if we believe your use violates these Terms or creates risk.

10. User Content

You retain whatever rights you have in prompts, files, context, instructions, and other content you submit to the Service (“User Content”).

You grant Claves AI a limited license to process, transmit, store, display, and use User Content as necessary to provide, secure, maintain, troubleshoot, and improve the Service, subject to our Privacy Policy and any applicable account settings.

You represent that you have all rights and permissions necessary to submit User Content to the Service and to allow it to be processed by Claves AI and relevant third-party providers.

11. Outputs

Subject to applicable law and these Terms, you may use outputs generated by the Service for your lawful purposes.

You are responsible for reviewing outputs before using them. Outputs may not be unique and may be similar or identical for different users.

Claves AI does not guarantee that outputs are accurate, lawful, safe, non-infringing, confidential, complete, or suitable for your use case.

12. Fees and Payment

Certain features may require payment, subscription, credits, or a connected provider account.

Prices, limits, models, features, usage allowances, and provider routes may change at any time. We may suspend or restrict access for nonpayment, payment failure, chargebacks, suspected fraud, or abuse.

Fees are non-refundable except where required by law or expressly stated in writing.

13. Changes to the Service

We may modify, suspend, degrade, discontinue, limit, or replace any feature, model, council, route, pricing plan, usage limit, provider integration, or access rule at any time.

We are not liable for changes in model availability, third-party provider behavior, latency, outages, rate limits, pricing, or discontinued features.

14. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect information. By using the Service, you acknowledge our Privacy Policy.

You are responsible for ensuring that any information you submit may lawfully be processed by Claves AI, third-party model providers, infrastructure providers, and connected services.

15. Intellectual Property

Claves AI and its associated software, design, branding, workflows, council structures, names, logos, interface elements, documentation, and platform features are owned by Claves AI or its licensors and are protected by intellectual-property laws.

Except as expressly allowed by these Terms, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Service.

16. Feedback

If you provide feedback, suggestions, ideas, bug reports, or recommendations, you grant Claves AI a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation.

17. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLAVES AI DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, SECURITY, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND COURSE OF PERFORMANCE.

CLAVES AI DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, LAWFUL, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLAVES AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SERVICE PROVIDERS, MODEL PROVIDERS, INFRASTRUCTURE PROVIDERS, AND PAYMENT PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, SECURITY INCIDENTS, PROFESSIONAL CONSEQUENCES, REGULATORY CONSEQUENCES, PROCUREMENT CONSEQUENCES, OR LOSS OF GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLAVES AI’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

(a) THE AMOUNT YOU PAID TO CLAVES AI FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
(b) ONE HUNDRED U.S. DOLLARS.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, liability is limited to the maximum extent permitted by law.

19. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Claves AI and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• your use of the Service;
• your User Content;
• your violation of these Terms;
• your violation of law, regulation, contract, professional duty, or third-party right;
• your submission of prohibited, restricted, confidential, sensitive, classified, controlled, or regulated information;
• your use of User-Provided Credentials;
• your reliance on outputs.

20. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service at any time if we believe:

• you violated these Terms or another policy;
• your use creates legal, security, operational, provider, reputational, or public-safety risk;
• your payment fails;
• your account is compromised;
• a third-party provider, law, regulation, or government authority requires restriction.

You may stop using the Service at any time. Certain provisions of these Terms will survive termination, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.

21. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Subject to any arbitration provision adopted by Claves AI, the state and federal courts located in [COUNTY], California will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service.

22. Dispute Resolution

Before filing a claim, you agree to contact us at help@tryclaves.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you through the email associated with your account.

Any arbitration, class-action waiver, jury-trial waiver, or small-claims procedure should be added here only after attorney review.

23. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date indicates when the Terms were last revised.

If we make material changes, we may provide notice through the Service, by email, or by other reasonable means. Continued use of the Service after changes become effective means you accept the updated Terms.

24. Order of Precedence

These Terms control over the Disclaimer, Acceptable Use Policy, Third-Party Provider Notice, BYOK Notice, help materials, marketing materials, interface text, and other non-contractual materials, unless another written agreement expressly states otherwise.

If these Terms conflict with the Privacy Policy regarding the handling of personal information, the Privacy Policy controls for that issue.

25. Severability

If any provision of these Terms is found unenforceable, invalid, or unlawful, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will remain in full force and effect.

26. Entire Agreement

These Terms, together with the Privacy Policy, Disclaimer, Acceptable Use Policy, and any other referenced policies, form the entire agreement between you and Claves AI regarding the Service.
